Treasury Regulations 1.337(d)-4
This Regulation places restrictions on organizations that "go exempt" under IRC Sections 501(c)(4) or 501(c)(7). This Regulation essentially assesses a transfer tax on assets transferred from a non exempt organization to an exempt organization unless certain criteria are met.
